Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and LASTMILE ID NIGERIA LTD (RC-9268413), trading as LastMile ID ("LastMile ID", "we", "us", or "our").

By accessing our website at lastmileidentity.com, submitting any registration, waitlist, or application form, using any LastMile ID service, or entering into any partnership with us, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our services.

About LastMile ID

LastMile ID is a verified address and civic identity infrastructure platform operating in Nigeria. Our mission is to assign a permanent, verifiable digital address identifier — a LastMile ID (LM-ID) — to every structure in Nigeria, starting with Oshimili South LGA, Delta State.

Our platform serves individuals seeking to register their properties, businesses and institutions seeking to verify addresses for KYC and logistics purposes, government agencies seeking to build or access civic address infrastructure, and field agents engaged to register properties on the ground.

LastMile ID is incorporated in Nigeria as LASTMILE ID NIGERIA LTD (RC-9268413) and operates under applicable Nigerian law.

Definitions

LastMile ID currently offers or is developing the following services:

We reserve the right to modify, suspend, or discontinue any service or feature at any time, with reasonable notice where practicable.

Eligibility

To use LastMile ID services, you must:

• Be at least 18 years of age, or be acting on behalf of an entity with proper authority
• Have the legal capacity to enter into a binding agreement under Nigerian law
• Not be prohibited from using our services under any applicable law or regulation
• Provide accurate, complete, and current information when registering or submitting data

Business users and government partners must be duly registered or incorporated entities with authority to enter into agreements. By using our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

User Obligations

Accuracy of Information

You agree to provide accurate, truthful, and complete information in all interactions with LastMile ID. Submitting false, misleading, or fraudulent data — including false property details, identity information, or business claims — is strictly prohibited and may result in immediate termination of access and potential legal action.

Authorisation

By submitting address or property data, you confirm that you are the owner of the property, a lawfully authorised tenant, manager, or agent, or otherwise authorised to register the property in question. LastMile ID does not verify ownership claims independently and relies on the accuracy of user-submitted information.

Prohibited Uses

You must not use LastMile ID services to:

• Submit false or fraudulent property or identity information
• Impersonate another person, business, or government body
• Attempt to access, scrape, or reverse-engineer any part of our platform or database without authorisation
• Use our verification API for purposes other than those agreed in your Business Access Agreement
• Interfere with or disrupt the operation of our platform or infrastructure
• Engage in any activity that is unlawful, harmful, or violates the rights of others
• Use our services to facilitate fraud, money laundering, or any criminal activity

Field Agents

Field agents have additional obligations specified in their individual Field Agent Agreements, including accurate data capture, device security, conduct standards, and confidentiality requirements. These Terms apply to field agents in addition to, not instead of, those specific obligations.

Intellectual Property

All content, technology, branding, software, data structures, processes, and materials on the LastMile ID platform — including but not limited to the LM-ID system, addressing methodology, logo, trade name, and database design — are the exclusive property of LASTMILE ID NIGERIA LTD or its licensors and are protected by applicable intellectual property law.

You are granted a limited, non-exclusive, non-transferable licence to access and use our platform for its intended purpose only. This licence does not permit you to copy, reproduce, modify, distribute, sublicense, or commercially exploit any LastMile ID content, data, or technology without our express written consent.

Property data and address information submitted by users remains the property of the data subject. By submitting address data to LastMile ID, you grant us a licence to store, process, and use that data for the purposes described in our Privacy Policy and these Terms.

Privacy

Your privacy is important to us. The collection, use, and storage of your personal data is governed by our Privacy Policy, which forms part of these Terms and is incorporated herein by reference.

By using our services, you consent to the processing of your personal data in accordance with our Privacy Policy. If you do not agree to our Privacy Policy, you must not use our services.

Disclaimers

Service Availability

LastMile ID services are provided on an "as is" and "as available" basis. We make no warranty that our services will be uninterrupted, error-free, or available at all times. We are not liable for any loss arising from service downtime, technical failures, or unavailability.

Accuracy of Address Data

While we take all reasonable steps to ensure the accuracy of verified address records, LastMile ID does not guarantee that all address or property data in our system is complete, current, or error-free. Address verification results should not be used as the sole basis for high-stakes decisions without independent confirmation.

Third-Party Integrations

Our platform may integrate with or reference third-party services. We are not responsible for the content, availability, or practices of third-party services and do not endorse them.

Waitlist

Joining a waitlist does not guarantee access to services within any specific timeframe. We are not liable for any loss or inconvenience caused by delays in service availability.

Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, LASTMILE ID NIGERIA LTD, its officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business opportunity, or goodwill — arising out of or in connection with your use of or inability to use our services.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the greater of:

• The amount you paid to LastMile ID in the twelve (12) months preceding the claim; or
• The sum of ₦50,000 (fifty thousand Naira)

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Nigerian law.

Indemnification

You agree to indemnify, defend, and hold harmless LASTMILE ID NIGERIA LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or relating to:

• Your use of our services in breach of these Terms
• Your submission of false, fraudulent, or inaccurate data
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights

Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant service changes or discontinuations that materially affect you.

We may update these Terms at any time. If we make material changes, we will notify registered users via email or a notice on our website. Your continued use of our services after the effective date of any change constitutes acceptance of the updated Terms.

We are not liable to you or any third party for any modification, suspension, or discontinuation of our services.

Termination

By Us

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, if we have reasonable grounds to believe you have breached these Terms, submitted fraudulent data, engaged in prohibited conduct, or where required by law.

By You

You may stop using our services at any time. To request deletion of your account or data, contact us at privacy@lastmileidentity.com in accordance with our Privacy Policy.

Effect of Termination

Termination does not affect any rights or obligations that arose before the termination date. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.

A registered LM-ID assigned to a property is tied to the property and does not expire upon termination of a user account. The data record may be retained in accordance with our data retention policy.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

In the event of any dispute arising out of or in connection with these Terms or our services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within 30 days of written notice from one party to the other, either party may refer the dispute to the competent courts of Delta State, Nigeria, which shall have exclusive jurisdiction.

Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from any court of competent jurisdiction.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service-specific agreements (Field Agent Agreement, Business Access Agreement, Government Partnership Agreement), constitute the entire agreement between you and LastMile ID with respect to the subject matter hereof.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver

Failure by LastMile ID to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision or any other provision in the future.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity in the event of a merger, acquisition, or restructuring.

Language

These Terms are written in English. In the event of any conflict between an English version and a translation, the English version shall prevail.
